These Terms of Service ("Terms") govern your access to and use of the website braydensautomations.com (the "Site") and the automation services, software, and related systems provided by Braydens Automations ("Braydens Automations," "we," "us," or "our") (collectively, the "Services").

By accessing or using the Site or the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Site or the Services.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. By using the Services, you represent that you meet these requirements and that any information you provide is accurate and current.

2. Description of the Services

Braydens Automations designs, builds, configures, and operates automation systems and related software for its clients. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written agreement, proposal, or statement of work between Braydens Automations and the client. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls for that engagement.

3. Accounts and access credentials

To deliver the Services, you may grant us access to third-party platforms, accounts, or services through authorized credentials or authorization flows such as OAuth. You are responsible for ensuring you have the authority to grant that access. You agree to keep your own credentials secure and to notify us promptly of any unauthorized use. You may revoke access we have been granted at any time, though doing so may affect our ability to provide the Services.

The Services may rely on or integrate with third-party platforms, including but not limited to hosting providers, workflow and automation tools, communication tools, and platforms such as Google services. Your use of those third-party services is subject to their own terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services, and we are not liable for changes those providers make that affect the Services.

You agree to provide accurate information, timely access, and reasonable cooperation needed for us to deliver the Services. You are responsible for ensuring that the data you provide or direct us to process, and the use of any systems we build for you, comply with all laws and regulations that apply to you and your business.

7. Fees and payment

Fees, payment schedules, and billing terms are set out in the applicable agreement, proposal, or statement of work. Unless otherwise agreed in writing, fees are due as invoiced, and late or unpaid amounts may result in suspension of the Services. Except as required by law or expressly agreed, fees are non-refundable.

8. Intellectual property

The Site and its content, including text, design, graphics, and logos, are owned by Braydens Automations or its licensors and are protected by applicable law. Ownership of custom deliverables produced for a client is governed by the applicable engagement agreement. Unless otherwise agreed in writing, we retain ownership of our pre-existing tools, templates, frameworks, and know-how, and we may reuse general skills and experience gained during an engagement.

9. Confidentiality

Each party agrees to protect the other party's non-public business information shared in connection with an engagement and to use it only for the purpose of performing under the applicable agreement, except where disclosure is required by law.

10. Disclaimers

The Site and the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or the Services will be uninterrupted, error free, or completely secure, or that any specific result will be achieved.

11. Limitation of liability

To the fullest extent permitted by law, Braydens Automations will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Site or the Services. To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Site or the Services will not exceed the amount you paid to us for the Services giving rise to the claim in the twelve months before the event that gave rise to the liability, or one hundred United States dollars if no such payment was made.

You agree to indemnify and hold harmless Braydens Automations and its representatives from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party.

You may stop using the Site and the Services at any time. We may suspend or terminate your access to the Site or the Services at any time, with or without cause, including for a violation of these Terms. Provisions that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive.

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. You agree that any dispute arising out of or related to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in New York, unless otherwise agreed in writing.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If we make material changes, we will take reasonable steps to provide notice. Your continued use of the Site or the Services after changes take effect means you accept the updated Terms.
